MingMart Seller Service Agreement

The Service Agreement (SA) below applies to all sellers that registered with MingMart. On top of that, you are also bound by the Terms and Conditions as outlined on our Terms and Conditions page. 

Application

This SA will apply to you (the customer or seller or you). We are MingMart a company registered in England and Wales under number 12657516 whose registered office is at Kemp House, 160 City Road, London, EC1V 2NX with email address customer-service@mingmart.co.uk; telephone number +44(0)1793484018; (the company or MingMart or us or we).

Interpretation

Consumer means an individual acting for purposes that are wholly or mainly outside his or her trade, business, craft or profession;

Contract means the legally binding agreement between you and us for the supply of the Goods;

Delivery Location means the Supplier's premises or other the location where the Goods are to be supplied, as set out in the Order;

Goods mean the goods advertised on the Website that we supply to you of the number and description as set out in the Order;

Order means the Customer's order for the Goods from the Supplier, as submitted following the step by step process, set out on the Website;

Privacy Policy means the terms which set out how we will deal with confidential and personal information received from you via the Website;

Website means our website mingmart.co.uk or mingmart.com.ng, or ming-mart.com, on which the Goods are advertised.

Category of Seller

  1. If you register with MingMart as seller or vendor, you will be automatically enrolled as Category 1 Seller, where MingMart will take 30% (Profit 1) from the product sales via Smart Listing and Third-party Product Listing. MingMart can decide to offer higher or lower Profit 1 to the sellers solely at MingMart’s discretion. 
  2. If you decide to enrol as a Category 2 Seller, then you will contact us (via email, social media channels, telephone, etc.) and we will undergo due diligence checks on you. Upon acceptance, you will operate as Category 2 Seller, where MingMart will take up to 70% (Profit 2) from the product sales via Smart Listing and Third-party Product Listing. You will be granted all the benefits of Category 2 Seller, including salary package, allowances, company employee benefits, etc. 
  3. We can create new Category of Seller solely at the discretion of MingMart’s business requirements. Please contact us to find out more about the new Category of Seller. 

Basic Selling Terms

  1.   If you are registering with MingMart as a business entity or on behalf of a business entity, you must ensure that you have the authority to legally bind that entity. If you are trading as a business on MingMart, you must comply with all applicable laws relating to online trading for the country you are selling on.

  2.   If you are selling on MingMart, you shall also follow MingMart’s platform policy, terms and any rules that have been put in place by MingMart. If you are unsure, please contact us.

  3.  We may cancel any unconfirmed seller accounts or seller accounts that have been inactive for a long period of time. We may delete all your product listings, your personal information and any data present in your seller account.

  4.  We reserve the right to vary or terminate all or part of this SA, and any other form of seller agreement with you or we may discontinue our services for any reason and/or period of time, at our discretion. We may try to communicate or inform you where possible.

  5.  When you sell or upload products on MingMart, you must ensure that all products are legal, in good condition, not posing any harm or danger to consumers, fully compliant with all the applicable local health and safety, intellectual property rights and consumer laws.

      Fees and Subscriptions

  1.  If you are the seller of MingMart, you are obliged to pay for the fees incurred by MingMart. MingMart may impose some additional fees for the seller at our discretion.

  2.  If you would like to use our seller services, you are expected to subscribe to one of our seller subscription plans. Details of these plans can be found on our Seller Plan Help Page. 

       Product Contents and Data

  1.  When you upload your products and related data to MingMart, you grant us a non-exclusive, worldwide, perpetual (or for the duration of any copyright or other rights in such content), irrevocable, royalty-free, sublicensable (through multiple tiers) right to use the content (including, without limitation, creating and using derivative works). We may in particular use your content, including any photographs you upload, for marketing and promotional purposes.

  2.   We may offer catalogue and/or product data (including images, descriptions and specifications) that are provided by third parties (including MingMart users). You may use that content solely in your MingMart listings during the time your listings are on MingMart. That permission is subject to modification or revocation at any time at MingMart's sole discretion.

       Incentives

  1.  MingMart shall offer the recommender up to 10% commission (derived from the seller’s net sales) per seller if he/she recommends and managed to get the new sellers to register and start selling at MingMart.

 

International Selling

  1.  If you are selling your products to multiple countries on MingMart, you must ensure that your products and selling practice are compliant with all the laws of each country, including but not limited to intellectual property rights, consumer protection laws, health and safety regulations, data protection laws, trading standards, custom duty and excise regulations, import and export regulations, human rights laws, tax laws and international trade regulations.

  2.  You must also ensure that the products ordered by the international buyer are shipped timely and promptly informed the buyer about the estimated shipping time.

Handling of Returns

  1.  You are solely responsible for handling any return request from your buyers when they ordered the products through your store on MingMart.

  2.  If the buyer escalates the return request to MingMart, then we will take prompt action to resolve the matter on your behalf and if you are at fault, then we have the right to deduct any fees and money from your earnings in order to compensate for the buyer, and return of Goods.

Data Privacy and Protection

  1.   You must not share, distribute, reveal or use the buyer’s personal data, order information and any related data obtained from MingMart’s buyers to any third-party, for any purposes other than to process the order and order management.
